5. Intellectual Property

  • All content, designs, code, and materials created by AerixNova Technologies remain the intellectual property of AerixNova Technologies unless explicitly transferred through a signed agreement.
  • Upon full payment, clients receive a license to use the deliverables as agreed. Source code ownership is subject to individual project contracts.
  • Client-provided materials remain the property of the client. By providing materials, you grant us a license to use them solely to deliver the contracted services.

6. Payments and Refunds

  • Payment terms are outlined in individual project proposals or contracts. Payments are due as specified therein.
  • All fees are non-refundable unless otherwise stated in a written agreement or required by applicable law.
  • We reserve the right to suspend services for overdue payments.

7. Confidentiality

  • Both parties agree to keep confidential any proprietary information shared during the course of the engagement.
  • This obligation of confidentiality shall survive the termination of services.
  • Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

8. Disclaimer of Warranties

  • The materials on AerixNova Technologies' website are provided on an 'as is' basis. AerixNova Technologies makes no warranties, expressed or implied, and hereby disclaims all other warranties.
  • We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
  • Results from our services may vary. We do not guarantee specific outcomes or performance metrics unless explicitly stated in a project agreement.

9. Limitation of Liability

  • In no event shall AerixNova Technologies be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website.
  • Our total liability to you for any claim arising from or relating to these Terms or our services shall not exceed the amount you paid to us in the three (3) months preceding the claim.

10. Termination

  • Either party may terminate a service engagement with written notice as specified in the project agreement.
  • Upon termination, all provisions of these Terms which by their nature should survive termination shall continue to apply, including intellectual property provisions, warranty disclaimers, and limitations of liability.

11. Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
  • Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Namakkal, Tamil Nadu, India.

12. Changes to Terms

  • We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to this page with an updated effective date.
  • Your continued use of our website or services after any changes constitutes your acceptance of the new Terms.
